The Securities and Exchange Commission recently passed the Jumpstart Our Business Startups Act (JOBS Act), removing the prohibition of general solicitation for securities offerings, provided that sales are limited to accredited investors. Under the Act, the issuer must take “reasonable steps” to verify that each investor is accredited. While there is no specific definition as to what this may constitute, what is certain is that the issuer will need to take formal verification steps in addition to the information provided by the investors.
